EXCHANGE TECHNOLOGIES LTD, (hereinafter “We”, “Us”, “Our”) provide fast and comfortable payments service, including cryptocurrency. Okipays is available on both PC and mobile applications. The following functions are available to our users:

• Acceptance of cryptocurrency as payment for goods and services

• Self-storage of cryptocurrency assets

• Access to reporting and billing features

• Conversion to any currency or stablecoin

• Individual payment buttons

• Hosted checkout pages

• Webhooks for accruals

• Reliable API

As the service is constantly developing and improving for you, the list of options available in Okipays will be updated with new services, so stay tuned.

We developed this ‘Terms of Service’ document in order to make cooperation more transparent and to prevent ethical and legal violations on both sides. We ask you to carefully read the text below, and only then click on the ‘Agree’ button.

By clicking ‘Agree’ button, or starting to work with the application, the use of individual services or all services in general, you by default agree to be bound by these Terms of Use. If you do not agree with the Terms, then, unfortunately, you cannot use our services.

Please read the Okipays Privacy Policy carefully to understand the collection, use and disclosure of our users' data. Even when launched, the Okipays service is still in continuous development over time. Therefore, we reserve the right to change or discontinue all or any part of the services without prior notice to users.

Who can work with Okipays?

Okipays services can only be used by a person who have reached the age of 18 and is not prohibited from using the services by law.

Registration, account and personal data

To get started with Okipays, create an account on the website or through the apps. You hereby acknowledge that you will not disclose your credentials to anyone. You agree to immediately notify the administration of the service if anyone tries to gain unauthorized access or use your account. You are responsible for all actions taken on behalf of your account, regardless of whether you know about them or not.

In case of violation of the rules for using the Okipays service, we have the right to suspend or terminate your account. Please note that violations include providing inaccurate or incomplete information about you, failure to comply with registration requirements, or violation of the Terms that you are currently reading.

SEED Phrase (Phrase to restore access to your account)

SEED-phrase, or phrase of 12 words, should be known only to you. You and only you are responsible for its safety and security. Do not pass this phrase on to anyone, even the closest people. This is your only way to access the cryptocurrency held by Okipays. Keep in mind that anyone who knows your SEED phrase will be able to access your cryptocurrency. You cannot change the SEED phrase. 

Okipays does not store that phrase, so if you lose it, you will also lose access to your assets. By starting to use this service and its services, you acknowledge that the company EXCHANGE TECHNOLOGIES LTD and Okipays do not bear any responsibility for this phrase and its loss by the user.

Feedback

We appreciate your feedback, since it is important for us what you think about our service. Therefore, we are waiting for your feedback, ideas and suggestions for improving the work at this address: New Horizon Building, Ground Floor, 3½ Miles Philip S.W. Goldson Highway, Belize City, Belize.

When you send us a review text, you transfer us the right to its intellectual property. We can use, copy, modify, create derivative works from this text at our discretion. We can use this review for any purpose.

Content, liability, deletion and ownership

By the term ‘Content’ we mean any text, graphics, image, music, software, audio, video, authoring works, information and other materials that are published, created, provided or otherwise made available through Okipays.

By ‘User Content’ we mean any content provided by Account Holders through Okipays, including correspondence and comments.

By creating User Content using our services, you transfer the exclusive and perpetual right to copy, use, publish, create derivative works based on it into the ownership of Okipays. However, we do not limit your ability to freely dispose of this content.

The content created by Okipays, its services, has all the rights, titles and interests of the company EXCHANGE TECHNOLOGIES LTD. By becoming a customer, you automatically acknowledge that Okipays Services and Content are protected by copyright, trademark and other laws of the United States and other countries. You may not remove, modify, or hide any copyright, trademark, service mark, or other proprietary notices included in or accompanying the Services or Content.

User Content Rights Grant by You

To operate and provide our Services, you grant us a worldwide non-exclusive, free, sublicensable and transferable license to use, copy, distribute, create derivative works, display and perform User Content you upload.

Additional information about your privacy and how we use User Content is available in the Privacy Policy.

You warrant and represent that you have the right and authority to submit your User Content and that the User Content, or any portion thereof, does not infringe intellectual property rights or any other rights of third parties.

You acknowledge that in certain cases where you have deleted your User Content by specifically deleting it, some of your User Content (for example, posts or comments you leave) may not be completely removed. Copies of them may continue to exist. Okipays is not responsible for the deletion or inability to delete any content uploaded by you.

Rights to the application, site and services provided by EXCHANGE TECHNOLOGIES LTD

Application, site, services Okipays are the property of EXCHANGE TECHNOLOGIES LTD and its licensors. You can only use them in accordance with these Terms of Use. EXCHANGE TECHNOLOGIES LTD grants you a limited, non-exclusive, non-transferable and non-sublicensable right to use the Application and Site to access and use the Services in accordance with these Terms.

Fees

When you start using Okipays services, please be aware that we may charge fees for our Services or part of them okipays.com/fees.

It remains our right to charge these fees, but we undertake to notify the User about this through one or more of the communication channels provided to us. We also reserve the right to waive the amount and terms of payment applicable to users of the Services in accordance with the terms of our agreements.

Okipays assumes no responsibility for lost deposits resulting from incorrectly specified receiving addresses, networks, or incorrect contracts. However, in certain situations, Okipays may be able to assist with recovering or refunding the lost deposit. Please note that this service incurs a fee equal to 5% of the deposit amount in USDT, with a minimum charge of 100 USDT.

Forced opt out of Okipays

You refuse to use Okipays services and do not allow your customers to do so if you are planning a transaction that:

• It is considered ‘prohibited’ according to the rules described in the Exhibition to this document.

• Violates the Terms in this document or other terms.

• Violates, assigns or neglects the rights of EXCHANGE TECHNOLOGIES LTD, as well as other users and third parties. This includes privacy, publicity, intellectual property or other proprietary rights.

• It is illegal or defamatory and involves threats, intimidation or harassment.

• Associated with impersonating another person.

• Violates the duties or rights of any natural or legal person. This applies to publicity, privacy, trademark rights.

• Used for sending invalid or illegal messages, bulk mailing, automatic message sending, automatic dialing, etc.

• Uses workarounds and is not aligned with any technology solutions implemented by Okipays, our service providers, or any other third party (including other users). Deactivates, degrades, descrambles these solutions, especially if they concern user protection.

• It is carried out through an IP proxy, VPN or other channels to hide the real location of the transaction participant.

• Interferes with the access of any user, host, or network, including but not limited to virus submission, congestion, flooding, spamming, or mail hacking.

• Promotes unfair or deceptive, abusive behavior.

• Violates applicable laws of any state or court order, or knowingly encourages such violations.

The Service may remove User Content at any time and for any reason without warnings. User Content may be removed if it is offensive, obscene, violent, or any other objectionable nature of the Content.

However, it is not Okipays' responsibility to control the Content uploaded by users. Therefore, be prepared for the fact that using the services, you may come across content from other users that you may not like.

We do not accept responsibility for any User Content, including any loss or damage to any of your User Content.

You agree to comply with export control and trade sanctions laws.

You cannot download the app or use the Okipays services if:

• You are under the control or are a citizen or resident of Cuba, Iran, North Korea, Sudan, Syria or any other country under the US embargo, UN Security Council Resolutions (“UN Security Council Resolutions”), financial sanctions regime of His Majesty's Treasury.

• You are on the Treasury Department's Specialized

• Citizens List or the United States Department of Commerce's Banned List, Unverified List, UK Treasury's Legal Entities List, Financial Sanctions Regime;

• You intend to provide any Services to Cuba, Iran, North Korea, Sudan or Syria or any other country subject to the U.S. embargo or the financial sanctions regime of Her Majesty's Treasury (or a citizen or resident of one of these countries), or a person included in the List designated citizens, Banned List, Unverified List, List of Legal Entities or Her Majesty's Treasury Financial Sanctions Regime.

• By using the Okipays service, you agree to protect the company (need inf. name) and its officers - directors, employees and agents from any claims, disputes, claims, losses, costs and expenses, legal and accounting fees associated with:

• Your access to the Service, services or content

• Use of the Service, services or content

• Third-party materials

• Your violation of these conditions.

Limitation of Liability

To the extent permitted by applicable law, EXCHANGE TECHNOLOGIES LTD is not responsible for your direct or indirect damages related to you or your inability to use the services, loss of your SEED phrase, discovering that you are on the list of persons to whom the use of the service is prohibited.

Okipays and the company that launched it EXCHANGE TECHNOLOGIES LTD are also not responsible for failures, defects, transmission delays in the blockchains of the cryptocurrencies you trade. The decrease in the value of the cryptocurrency coins that you use does not depend on Okipays, so we are not responsible for this either. Lost profits, or any incidental, consequential and intangible losses associated with the software, products, services from third parties, also lie outside our area of сompetence.

The total liability EXCHANGE TECHNOLOGIES LTD for any damages, excluding applicable personal injury law, does not exceed hundreds of US dollars (USD 100) or its equivalent in any other currency.

Account

You can link commercial applications to your Okipays account so that your account can be accessed from them. In doing this, you must remember and agree to the following rule: All transactions made while accessing your Okipays account are governed by the Okipays Account Terms of Use and the Okipays Privacy Policy.

Terminating Access to Okipays

We reserve the right to enforce the suspension or termination of your use of the Okipays service at any time and without prior notice if we deem a valid reason. You can also voluntarily delete your Okipays account at any time - there is a corresponding instruction in the application for this.

Forced or voluntary termination of your account, by all means, will result in the immediate revocation of all rights and licenses granted to you by Okipays. In this case, you must immediately stop using and accessing the App, Site, Services, Content and other Okipays products.

Disclaimer of Warranties

You are using Okipays services and you understand that the Application, Site and Services are provided on an “As Is” and “As Available” basis, without any warranties, express, implied or statutory. We do not guarantee the safety of your assets in the event of any failure to comply with the rules specified in these Terms. We also do not guarantee that access to the Services or any of their materials contained therein will be continuous, timely or error-free.

We insist that you store your private access key using secondary means (write down your SEED phrase somewhere so that you always have it at your fingertips, but no third parties have access to it).

Okipays General Terms of Service

General terms

These Terms constitute the full and exclusive understanding and agreement between (need inf. Company name) and the User. These Terms take precedence over any prior oral or written agreement between you and EXCHANGE TECHNOLOGIES LTD. If any provision of these Terms is held invalid or unenforceable by an arbitrator or court of competent jurisdiction, that provision will apply to the maximum extent permitted and the other provisions of these Terms will remain in full force and effect.

These Terms are written in English (United States). Any translated version is provided solely for your convenience. If any translated version of our Terms conflicts with the English version, the English version shall prevail.

EXHIBITION TO OKIPAYS TERMS OF USE

Attempts to gain unauthorized access to the Site or Application, other accounts, computer systems or networks.

• Offensive activities towards other users: insult, misinformation, extortion, harassment, threats, any violation of the legal rights of other users (including the right to privacy, publicity, confidentiality and intellectual property). Collecting information about other users, including email addresses, without proper consent.

• Fraudulent Activity: Anything that involves defrauding Okipays users, company representatives, or anyone else. Providing false, inaccurate or misleading information.

Prohibited business

By creating an account with Okipays and starting to use our services, you automatically agree that you will not use them in connection with any of the following actions, practices or items:

1. Limited financial services: check cashing, bond, collection agencies.

2. Intellectual property or proprietary infringement: Selling, distributing or accessing counterfeit music, films, software, or other licensed material without the proper permission of the copyright holder.

3. Trade in counterfeit or prohibited goods and services; Stolen goods or those that are illegally imported or exported.

4. Regulated products and services: medical cannabis and products that contain it. Sale of tobacco, alcohol, electronic cigarettes and e-liquids. Online prescriptions or pharmaceutical services; age-restricted goods or services; weapons and ammunition; gunpowder and other explosives; fireworks and related products; toxic, flammable and radioactive materials; goods and services with different legal status.

5. Psychoactive substances, drugs and goods for their manufacture or use (bongs, vaporizers, hookahs, etc.); It is also prohibited to sell legal substances that imitate narcotic effects: sage, krat, etc.
